These Terms of Use (“Terms”) govern the relationship between 365 Company OOD (“365 Company”, “we”, “us”, or “our”) and any individual or entity (“User”, “you”, or “your”) accessing or using Guidy, including the website located at www.guidy.ai, the Guidy desktop application, and any related products, services, software, content, features, and functionality (collectively, the “Platform”).
By creating an account, accessing the Platform, purchasing a Premium Plan, purchasing Credit Packs, or otherwise using Guidy, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree with these Terms, you must not use the Platform.

365 Company is the owner and operator of Guidy.
II. Definitions
For the purposes of these Terms:
Account means a registered User profile allowing access to the Platform.
Credits means usage units that may be consumed when using certain Guidy features and services.
Credit Pack means a one-time purchase of additional Credits.
Free Plan means the version of Guidy made available without charge and including a limited number of Credits.
Premium Plan means a paid version of Guidy that includes additional features, functionality, and/or Credits.
AI Guidance means any recommendation, instruction, explanation, visual indication, highlighted element, workflow assistance, or other output generated through artificial intelligence systems used by Guidy.
Screenshot Data means screenshots, screen captures, user interface information, images, accessibility metadata, and related information processed by Guidy to provide its functionality.
Services means all products, features, functionality, software, content, AI-powered guidance, support services, and related services provided through Guidy.
Platform means the Guidy website, desktop application, software, and all associated services.
III. Account registration
To access certain features of the Platform, Users must create an Account.
During registration, Users may be required to provide accurate and complete information, including name, email address, password, and any additional information reasonably requested by 365 Company.
Registration may also be completed using supported third-party authentication providers, including Google, Microsoft, LinkedIn, Apple, or other providers made available by the Platform.
To complete registration, Users must accept these Terms of Use and the Privacy Policy.
365 Company may require verification of the User’s email address before activating an Account. Verification may be completed through a confirmation email, verification code, or other method determined by 365 Company.
The User is responsible for maintaining the confidentiality of Account credentials and for all activities performed through the Account.
Users must immediately notify 365 Company if they suspect unauthorized access to their Account.
Users must provide accurate, complete, and current information and keep such information updated.
Users must be at least eighteen (18) years of age or the age of legal majority in their jurisdiction. Individuals who do not meet this requirement may not create an Account or use the Services.
365 Company reserves the right to suspend, restrict, or terminate any Account where it reasonably believes that:
- inaccurate information has been provided;
- these Terms have been violated;
- fraudulent, abusive, or unlawful activity has occurred; or
- continued access creates security, legal, operational, or reputational risks.
IV. Plans, credits, and credit packs
1. Guidy Plans
Guidy may be offered through one or more plans, including a Free Plan and one or more Premium Plans.
The features, limitations, included Credits, and pricing applicable to each plan shall be displayed on the Platform and may be modified by 365 Company from time to time.
2. Free Plan
The Free Plan allows Users to access certain features of the Platform at no cost and includes a limited number of Credits.
The availability, functionality, and number of Credits included in the Free Plan are determined solely by 365 Company and may be changed, suspended, or discontinued at any time.
3. Premium Plans
Premium Plans are paid products that provide access to additional features, functionality, services, and/or a larger allocation of Credits.
Premium Plans are purchased through a one-time payment and do not automatically renew.
Unless expressly stated otherwise at the time of purchase, Premium Plans are not subscriptions and do not create recurring payment obligations.
4. Credits
Credits are the usage units used within Guidy.
Certain features and Services consume Credits when used, including but not limited to AI-powered guidance, screenshot analysis, interface recognition, task assistance, workflow support, and other functionality determined by 365 Company.
The number of Credits consumed may vary depending on the nature, complexity, duration, or technical requirements of the requested Service.
365 Company reserves the right to determine and modify Credit consumption rates at its reasonable discretion.
5. Credit Balance
Users may review their available Credit balance through their Account or other interfaces provided by the Platform.
Credits have no monetary value, are not legal tender, and do not constitute currency, electronic money, stored value, or any other financial instrument.
Credits may only be used within Guidy and may not be sold, transferred, assigned, exchanged, or redeemed for cash.
6. Credit Packs
When a User’s available Credits have been exhausted, additional Credits may be purchased through Credit Packs.
Credit Packs are one-time purchases of additional Credits and may be offered in different quantities, prices, and configurations.
The available Credit Packs and their corresponding prices shall be displayed on the Platform at the time of purchase.
365 Company reserves the right to modify, add, discontinue, or replace Credit Pack offerings at any time.
7. Credit Availability and Expiration
Unless otherwise expressly stated on the Platform at the time of purchase, purchased Credits do not expire while the User maintains an active Account in good standing.
Promotional, bonus, trial, complimentary, or other non-purchased Credits may be subject to separate expiration dates, limitations, or conditions communicated by 365 Company.
8. Changes to Plans and Credits
365 Company may modify, improve, discontinue, replace, or introduce new plans, features, Credit Pack offerings, Credit allocations, and Credit consumption rates at any time.
Such changes shall not affect Credits already purchased and available in a User’s Account unless required by law, necessary for security reasons, or necessary to prevent fraud, abuse, or misuse of the Platform.
9. No Ownership Rights
The purchase of a Premium Plan or Credit Pack grants the User a limited right to access and use the Services in accordance with these Terms.
The purchase of Credits does not grant the User any ownership interest in Guidy, the Platform, the Services, or any underlying technology.
V. Purchases, payments, and refunds
1. Purchases
Users may purchase Premium Plans, Credit Packs, and other paid Services offered through the Platform.
All available products, features, included Credits, prices, and applicable conditions shall be displayed on the Platform at the time of purchase.
2. Order Process
To complete a purchase, the User must:
- Be logged into an active Account;
- Select the desired Premium Plan, Credit Pack, or Service;
- Provide any information required for billing and payment purposes;
- Review the order details;
- Confirm the purchase through the Platform.
By confirming a purchase, the User submits a binding request to purchase the selected product or Service and authorizes the corresponding payment.
By completing a purchase, the User expressly requests immediate access to the purchased digital Services and Credits and acknowledges that statutory withdrawal rights may be affected once the Services have been activated or Credits have been consumed, to the extent permitted by applicable law.
3. Payment
All purchases must be paid in full at the time of purchase using one of the payment methods made available through the Platform.
365 Company may use third-party payment processors and payment service providers to facilitate payments.
The User agrees to comply with any applicable terms and conditions of such payment providers.
365 Company does not store complete payment card information and is not responsible for the operation, availability, security, or performance of third-party payment providers.
4. Confirmation of Purchase
A purchase shall be deemed completed only after:
- Payment has been successfully processed; and
- 365 Company has confirmed the transaction through the Platform or by email.
Following successful purchase, the corresponding Premium Plan, Credits, Credit Pack, or Service shall be made available to the User.
5. Pricing
All prices displayed on the Platform are shown in the applicable currency and may be subject to taxes, VAT, sales taxes, duties, or other governmental charges depending on the User’s location and applicable law.
Unless otherwise stated, prices displayed on the Platform are final and inclusive of applicable taxes.
365 Company reserves the right to change prices at any time. Price changes shall not affect purchases already completed before the effective date of the change.
6. Promotional Offers and Discounts
365 Company may offer promotional pricing, discounts, referral programs, promotional codes, limited-time offers, or other incentives.
Unless expressly stated otherwise, promotional offers may not be combined.
365 Company reserves the right to modify, suspend, or terminate any promotion at any time.
7. Premium Plan Refunds
365 Company offers a voluntary fourteen (14) day money-back guarantee for Premium Plans.
A User may request a refund of a Premium Plan if:
- The refund request is submitted within fourteen (14) calendar days of the purchase date;
- No more than five percent (5%) of the Credits included with the Premium Plan have been consumed;
- The User has not engaged in fraud, abuse, chargeback abuse, or violations of these Terms of Use.
If these conditions are met, 365 Company may refund the full purchase price of the Premium Plan.
Upon issuing a refund, 365 Company may immediately revoke access to the refunded Premium Plan and remove any remaining Credits associated with that purchase.
For example, if a Premium Plan includes 1,000 Credits, the User may remain eligible for a refund only if no more than 50 Credits have been consumed at the time the refund request is submitted.
8. Credit Packs
Purchases of Credit Packs are final and non-refundable.
The User acknowledges that Credits are made available immediately upon purchase and may be consumed immediately after purchase. Accordingly, Credit Pack purchases are not eligible for refunds except where required by applicable law.
9. Promotional, Bonus, and Complimentary Credits
Promotional Credits, bonus Credits, trial Credits, complimentary Credits, referral Credits, and any other Credits provided without direct payment are non-refundable, non-transferable, and have no cash value.
10. Statutory Consumer Rights
Nothing in these Terms limits or excludes any mandatory rights granted to consumers under applicable law.
For consumers located in the European Union, certain purchases may be subject to statutory withdrawal rights. However, where permitted by applicable law, the User expressly requests and consents to the immediate provision of digital content and digital services upon purchase and acknowledges that such performance may affect statutory withdrawal rights once the Services have been activated or purchased Credits have been consumed.
11. Refund Review
365 Company reserves the right to investigate refund requests and may deny requests where there is reasonable evidence of:
- Fraudulent activity;
- Abuse of the refund policy;
- Multiple refund requests;
- Attempts to obtain Services without payment;
- Violations of these Terms of Use.
12. Refund Processing
Approved refunds shall be issued using the original payment method whenever reasonably possible.
Processing times may vary depending on the payment provider, financial institution, and payment method used.
365 Company will make reasonable efforts to process approved refunds within fourteen (14) business days after approval of the refund request.
13. Fraudulent Transactions
365 Company reserves the right to refuse, suspend, cancel, or investigate any purchase where it reasonably suspects fraud, abuse, unauthorized payment activity, chargeback abuse, violation of these Terms, or other unlawful activity.
Where appropriate, 365 Company may suspend access to Services, Credits, or Accounts while such matters are investigated.
14. Chargebacks
If a User initiates a chargeback, payment dispute, or payment reversal without first contacting 365 Company to seek resolution, 365 Company reserves the right to suspend or terminate access to the Platform, Credits, Premium Plans, and other Services pending resolution of the dispute.
Nothing in this provision limits any rights the User may have under applicable consumer protection laws.
15. Invoices
Users may request invoices for eligible purchases.
Where required for invoicing or compliance purposes, the User shall provide accurate and complete billing information.
Invoices may be provided electronically and delivered through the User’s Account, email, or other electronic means.
VI. AI guidance and user responsibility
1. Nature of the Services
Guidy provides AI-powered guidance, recommendations, instructions, visual highlights, workflow assistance, and other informational outputs designed to help Users navigate software applications and complete tasks.
The Services are intended solely as an assistance tool and should not be considered professional, legal, financial, accounting, tax, medical, technical, cybersecurity, or other specialized advice.
2. AI-Generated Content
The User acknowledges and agrees that AI Guidance is generated through automated systems and may be incomplete, inaccurate, misleading, outdated, inappropriate, or unavailable.
365 Company does not guarantee the accuracy, completeness, reliability, suitability, legality, safety, or effectiveness of any AI Guidance provided through the Platform.
3. User Responsibility
The User remains solely responsible for:
- Reviewing and evaluating all AI Guidance before acting upon it;
- Verifying the accuracy and suitability of any recommendation or instruction;
- Any actions performed within third-party software applications;
- Any decisions made based on information provided through the Platform;
- Maintaining backups of important files, documents, configurations, and data.
The User acknowledges that all actions taken in response to AI Guidance are performed at the User’s own risk.
4. No Automated Decision-Making
Guidy is designed to provide guidance and assistance. Unless expressly stated otherwise, Guidy does not make decisions on behalf of the User and does not replace the User’s judgment, expertise, or responsibility.
The User retains full control over whether to follow any recommendation or instruction provided by the Platform.
5. Third-Party Software
Guidy may provide guidance relating to third-party software, websites, platforms, operating systems, and services.
365 Company is not affiliated with, endorsed by, sponsored by, or officially associated with any third-party software provider unless expressly stated otherwise.
The appearance, functionality, availability, and behavior of third-party software may change at any time and may affect the accuracy or effectiveness of the Services.
365 Company does not guarantee compatibility with any particular software application, operating system, website, service, or software version.
6. No Warranty of Results
365 Company does not guarantee that:
- A task will be completed successfully;
- A particular outcome will be achieved;
- A highlighted interface element is always the correct element;
- AI Guidance will always be available;
- AI Guidance will always be current, accurate, or suitable for the User’s situation.
The User understands that software environments, user interfaces, workflows, permissions, settings, and system configurations vary and may affect the effectiveness of the Services.
7. Data Loss and Business Interruption
365 Company shall not be liable for any loss of data, corruption of files, interruption of business activities, loss of productivity, missed opportunities, lost profits, or other damages arising from the use of or reliance upon the Services.
Users are strongly encouraged to maintain appropriate backups and follow their own internal review and approval procedures before making significant changes within third-party software systems.
8. Availability of AI Services
Certain features of Guidy rely on third-party artificial intelligence providers and external technology services.
365 Company does not guarantee uninterrupted availability of such services and shall not be liable for delays, interruptions, degraded performance, or unavailability caused by third-party providers, network failures, technical issues, maintenance, or circumstances beyond its reasonable control.
9. Continuous Improvement
The User acknowledges that Guidy is an evolving software product.
365 Company may modify, improve, update, replace, suspend, or discontinue features, functionality, AI models, workflows, interfaces, and methods of operation at any time in order to improve the Platform, maintain security, comply with legal obligations, or enhance the user experience.
VII. Screen processing, privacy, and third-party AI providers
1. Screen Processing
The User acknowledges that the core functionality of Guidy requires the analysis of information displayed on the User’s screen.
In order to provide AI Guidance and other Services, Guidy may capture, process, analyze, and transmit screenshots, screen content, user interface elements, accessibility metadata, application information, and other information necessary to understand the User’s current software environment and requested task.
Such processing is performed solely for the purpose of providing the Services requested by the User.
2. User Responsibility for Visible Information
The User acknowledges that information visible on their screen may contain sensitive, confidential, proprietary, personal, financial, medical, legal, or other protected information.
The User is solely responsible for determining whether information displayed on their screen is appropriate for processing through the Platform.
Before using the Services, the User should take reasonable precautions to ensure that any information they do not wish to be processed is not visible on screen.
3. Third-Party AI Providers
Certain Services rely on artificial intelligence technologies provided by third-party service providers.
In order to generate AI Guidance, Guidy may transmit relevant task information, screenshots, screen content, prompts, metadata, and related information to such providers for processing.
The User acknowledges and agrees that the transmission and processing of such information by third-party providers is an essential part of the operation of the Platform.
4. Changes to AI Providers
365 Company may add, remove, replace, or modify third-party AI providers from time to time.
Where required by applicable law, Users shall be notified of material changes affecting the processing of personal information.
5. Privacy Policy
The collection, use, storage, retention, disclosure, and protection of personal information are governed by the Guidy Privacy Policy, which forms an integral part of these Terms.
By using the Platform, the User acknowledges that they have read and understood the Privacy Policy.
6. No Responsibility for Third-Party Services
365 Company shall not be responsible for the availability, functionality, security practices, privacy practices, or performance of third-party AI providers, software vendors, operating systems, websites, platforms, or other third-party services.
The use of such third-party services may be subject to additional terms, conditions, and privacy policies established by the respective providers.
7. Technical Data
365 Company may collect technical and operational information necessary to operate, maintain, secure, improve, and support the Platform, including:
- Device and operating system information;
- Application version information;
- Diagnostic and error logs;
- Usage statistics;
- Performance metrics;
- Security and fraud-prevention information.
Such information may be used for product improvement, troubleshooting, analytics, security, compliance, and customer support purposes.
8. Security Measures
365 Company implements reasonable administrative, technical, and organizational measures designed to protect information processed through the Platform.
However, no method of electronic transmission, storage, or processing can be guaranteed to be completely secure. Accordingly, 365 Company cannot guarantee absolute security and disclaims liability for events beyond its reasonable control.
9. Compliance with Laws and Requests
365 Company may disclose information where required by applicable law, court order, governmental authority, legal process, regulatory obligation, or where reasonably necessary to protect the rights, safety, security, property, Users, or legitimate interests of 365 Company or third parties.
VIII. Acceptable use and prohibited activities
1. Permitted Use
Subject to these Terms, 365 Company grants the User a limited, non-exclusive, non-transferable, revocable right to access and use Guidy solely for its intended purpose and in accordance with applicable laws and regulations.
The User may use the Platform only for lawful purposes and in a manner consistent with these Terms.
2. Prohibited Activities
The User shall not, directly or indirectly:
- Violate any applicable law, regulation, court order, or governmental requirement;
- Use the Platform for any unlawful, fraudulent, deceptive, harmful, abusive, or malicious purpose;
- Interfere with, disrupt, damage, or compromise the Platform, its infrastructure, security mechanisms, or related systems;
- Attempt to gain unauthorized access to any account, system, network, data, or Service;
- Circumvent, disable, defeat, or otherwise interfere with security features, access controls, usage limitations, or Credit consumption mechanisms;
- Use automated scripts, bots, crawlers, scraping tools, or similar technologies to access or interact with the Platform in an unauthorized manner;
- Introduce viruses, malware, ransomware, spyware, malicious code, or other harmful software into the Platform;
- Use the Platform to transmit, process, store, or distribute unlawful, defamatory, infringing, hateful, discriminatory, obscene, or otherwise objectionable content;
- Use the Platform in a manner that could damage, disable, overburden, or impair the operation of the Services;
- Misrepresent identity, affiliation, authorization, or relationship with any person or entity;
- Attempt to manipulate, exploit, abuse, or artificially increase the availability of Credits, promotional offers, free usage allowances, referral programs, or other Platform benefits.
3. Account Sharing
User Accounts are intended for individual use unless expressly authorized by 365 Company.
The User shall not share Account credentials with third parties or permit unauthorized persons to access or use the Platform through the User’s Account.
The User remains fully responsible for all activities performed through the Account.
4. Reverse Engineering and Unauthorized Access
Except where expressly permitted by applicable law, the User shall not:
- Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, algorithms, models, architecture, or underlying technology of the Platform;
- Attempt to discover, extract, replicate, copy, or recreate prompts, workflows, datasets, system instructions, or proprietary processes used by Guidy;
- Access or use the Platform for the purpose of developing, training, improving, or benchmarking competing products or services;
- Probe, scan, test, or assess the vulnerability of the Platform without the prior written consent of 365 Company.
5. Abuse of Credits and Promotional Programs
The User shall not engage in activities intended to obtain unauthorized access to Credits, free usage allowances, discounts, promotional benefits, referral rewards, or other commercial advantages.
365 Company reserves the right to revoke Credits, suspend Accounts, cancel purchases, or terminate access where abuse, fraud, manipulation, or misuse is suspected.
6. Third-Party Rights
The User shall not use the Platform in any manner that infringes, misappropriates, violates, or otherwise interferes with the intellectual property rights, privacy rights, contractual rights, or other legal rights of any third party.
7. Monitoring and Enforcement
365 Company reserves the right, but not the obligation, to investigate potential violations of these Terms.
Where 365 Company reasonably believes that a violation has occurred, it may take any action it deems appropriate, including:
- Issuing warnings;
- Suspending or restricting access to the Platform;
- Removing content or data;
- Revoking Credits or promotional benefits;
- Terminating Accounts;
- Refusing future purchases;
- Reporting activities to law enforcement authorities or regulatory bodies where appropriate.
8. Consequences of Violations
Any violation of this Section may result in immediate suspension or termination of access to the Platform without notice and without refund, to the extent permitted by applicable law.
365 Company reserves all rights and remedies available under applicable law in connection with violations of these Terms.
IX. Intellectual property rights
1. Ownership of the Platform
The Platform, including Guidy, its software, source code, object code, algorithms, artificial intelligence systems, models, user interfaces, workflows, designs, graphics, text, images, audio, video, databases, documentation, trademarks, logos, trade names, branding elements, and all related content and technology, are owned by or licensed to 365 Company and are protected by applicable intellectual property, copyright, trademark, trade secret, and other laws.
Except as expressly provided in these Terms, no rights, title, or interest in or to the Platform are transferred to the User.
2. Limited License
Subject to compliance with these Terms, 365 Company grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for the User’s internal personal or business purposes and only in accordance with these Terms.
This license does not grant the User any ownership rights in the Platform or any part thereof.
3. Restrictions
The User shall not, except as expressly permitted by applicable law or with the prior written consent of 365 Company:
- Copy, reproduce, distribute, publish, display, transmit, sell, lease, sublicense, or otherwise exploit any part of the Platform;
- Modify, adapt, translate, create derivative works from, or otherwise alter the Platform;
- Remove, obscure, or alter copyright notices, trademarks, proprietary notices, or other legal notices;
- Use any part of the Platform for the development, training, improvement, or operation of competing products or services;
- Use the Platform in a manner that infringes the intellectual property rights of 365 Company or any third party.
4. Trademarks
“Guidy”, “365 Company”, and all related names, logos, product names, service names, slogans, trade dress, and branding elements are trademarks or proprietary marks of 365 Company or its licensors.
Nothing contained in these Terms grants the User any right to use any trademark, logo, or branding element without the prior written consent of 365 Company.
5. Feedback
If the User provides suggestions, ideas, recommendations, comments, bug reports, feature requests, feedback, or other information relating to the Platform (“Feedback”), the User grants 365 Company a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, modify, distribute, commercialize, and otherwise exploit such Feedback for any purpose without compensation or attribution to the User.
365 Company is under no obligation to implement or respond to any Feedback.
6. User Content
To the extent the User submits content, prompts, requests, instructions, feedback, communications, or other materials through the Platform (“User Content”), the User retains ownership of any intellectual property rights they may have in such User Content.
The User grants 365 Company a limited, non-exclusive, worldwide, royalty-free license to process, transmit, reproduce, analyze, store, and use such User Content solely as necessary to provide, maintain, improve, secure, support, and operate the Platform and comply with legal obligations.
The User represents and warrants that they possess all rights necessary to submit such User Content and grant the rights described in these Terms.
7. Reservation of Rights
All rights not expressly granted to the User under these Terms are reserved by 365 Company and its licensors.
No implied licenses shall be created by these Terms or by the User’s access to or use of the Platform.
8. Reporting Intellectual Property Violations
If any person believes that content, materials, or functionality available through the Platform infringes their intellectual property rights, they may contact 365 Company using the contact information provided in these Terms.
365 Company reserves the right to investigate such claims and take any action it considers appropriate, including removal of content, suspension of access, or termination of Accounts where required by law or reasonably necessary to protect intellectual property rights.
X. Disclaimers and limitation of liability
1. Services Provided “As Is”
The Platform and all Services are provided on an “as is”, “as available”, and “with all faults” basis.
To the fullest extent permitted by applicable law, 365 Company makes no representations, warranties, guarantees, or conditions of any kind, whether express, implied, statutory, or otherwise, regarding the Platform or the Services.
2. Disclaimer of Warranties
365 Company expressly disclaims all warranties, including, without limitation:
- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Accuracy;
- Reliability;
- Availability;
- Security;
- Compatibility;
- Performance; and
- Uninterrupted or error-free operation.
365 Company does not warrant that the Platform will always be available, secure, accurate, complete, free from defects, or suitable for the User’s specific needs.
3. AI Guidance Disclaimer
The User acknowledges that Guidy utilizes artificial intelligence and automated technologies to generate guidance, recommendations, instructions, visual highlights, and other outputs.
Such outputs may be inaccurate, incomplete, misleading, outdated, inappropriate, or unavailable.
365 Company does not guarantee the correctness, quality, usefulness, legality, suitability, or effectiveness of any AI Guidance generated through the Platform.
The User remains solely responsible for evaluating, verifying, and determining whether any AI Guidance is appropriate for their circumstances before taking action.
4. Third-Party Software and Services
Guidy interacts with and provides guidance relating to third-party software applications, websites, operating systems, and services.
365 Company does not control such third-party products and does not guarantee:
- Continued compatibility;
- Availability of specific functionality;
- Accuracy of user interface recognition;
- Successful completion of tasks within third-party software;
- Consistency of software interfaces or workflows.
Changes made by third-party software providers may affect the operation, effectiveness, or accuracy of the Services.
5. User Responsibility
The User is solely responsible for:
- Actions taken in reliance on AI Guidance;
- Data entered, modified, deleted, or processed through third-party software;
- Verifying the correctness of any recommendation or instruction;
- Maintaining backups of important information;
- Reviewing and approving actions before implementation.
The User acknowledges that all use of the Platform is at their own risk.
6. Limitation of Liability
To the fullest extent permitted by applicable law, 365 Company, its directors, officers, employees, contractors, affiliates, licensors, partners, and service providers shall not be liable for any:
- Direct damages;
- Indirect damages;
- Incidental damages;
- Consequential damages;
- Special damages;
- Punitive damages;
- Exemplary damages;
- Loss of profits;
- Loss of revenue;
- Loss of business opportunities;
- Loss of goodwill;
- Loss of data;
- Business interruption;
- System downtime;
- Security incidents;
- Procurement of substitute services; or
- Any other losses arising out of or related to the use of, inability to use, or reliance upon the Platform or Services,
whether based in contract, tort, negligence, strict liability, statutory liability, or any other legal theory, even if advised of the possibility of such damages.
7. Maximum Liability
To the fullest extent permitted by applicable law, the total aggregate liability of 365 Company arising out of or relating to the Platform, the Services, or these Terms shall not exceed the greater of:
- The total amount paid by the User to 365 Company during the twelve (12) months immediately preceding the event giving rise to the claim; or
- One hundred United States Dollars (USD $100).
This limitation applies regardless of the number of claims, events, or causes of action.
8. No Liability for Third Parties
365 Company shall not be responsible for any acts, omissions, products, services, content, policies, or practices of:
- Third-party software providers;
- Artificial intelligence providers;
- Payment processors;
- Hosting providers;
- Telecommunications providers;
- Internet service providers; or
- Any other third party.
Any interaction between the User and such third parties is solely between the User and the relevant third party.
9. Force Majeure
365 Company shall not be liable for any delay, interruption, failure, or inability to perform arising from causes beyond its reasonable control, including but not limited to:
- Natural disasters;
- War;
- Terrorism;
- Civil unrest;
- Government actions;
- Labor disputes;
- Internet outages;
- Power failures;
- Cyberattacks;
- Third-party service failures;
- Infrastructure failures; or
- Other force majeure events.
10. Consumer Rights
Nothing in these Terms excludes, limits, or restricts any rights that cannot be excluded, limited, or restricted under applicable consumer protection laws.
Where applicable law does not permit a particular exclusion or limitation of liability, such exclusion or limitation shall apply only to the maximum extent permitted by law.
XI. Suspension, termination, and account closure
1. Termination by the User
The User may stop using the Platform at any time.
The User may request the closure of their Account by contacting 365 Company through the contact details provided in these Terms or through any account management functionality made available on the Platform.
Termination of an Account does not automatically entitle the User to a refund. Any refund rights shall be governed exclusively by the Guidy Refund Policy and applicable law.
2. Suspension or Termination by 365 Company
365 Company reserves the right to suspend, restrict, deactivate, or terminate a User’s access to the Platform immediately, with or without notice, where it reasonably determines that:
- The User has violated these Terms;
- The User has violated applicable laws or regulations;
- Fraudulent, deceptive, abusive, or unauthorized activity has occurred;
- The User has attempted to circumvent payment systems, Credit consumption mechanisms, or Platform restrictions;
- The User’s actions create security, legal, technical, operational, or reputational risks;
- Continued provision of the Services is no longer commercially, technically, or legally feasible.
3. Effect of Termination
Upon termination or closure of an Account:
- Access to the Platform may immediately cease;
- The User may lose access to available Credits, Premium Plan benefits, account history, settings, and other Account-related information;
- 365 Company may remove or deactivate the Account and associated information, subject to applicable legal retention requirements.
4. Preservation of Rights
Termination of these Terms shall not affect any rights, obligations, liabilities, claims, remedies, or provisions that by their nature are intended to survive termination, including provisions relating to intellectual property, liability limitations, indemnification, dispute resolution, and applicable law.
5. Discontinuation of the Platform
365 Company reserves the right to modify, suspend, discontinue, or permanently terminate the Platform or any portion thereof at any time.
Where reasonably practicable, 365 Company will provide advance notice of material discontinuation of paid Services.
XII. Governing law and dispute resolution
1. Applicable Law
These Terms, the Platform, and any disputes arising out of or relating to the use of Guidy shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to conflict of law principles.
Where mandatory consumer protection laws of the User’s country of residence provide additional rights that cannot be waived by contract, such rights shall remain unaffected.
2. Good Faith Resolution
The Parties shall make reasonable efforts to resolve any dispute, controversy, or claim arising out of or relating to these Terms through good-faith negotiations before commencing formal legal proceedings.
3. Jurisdiction
To the extent permitted by applicable law, any dispute arising out of or relating to these Terms, the Platform, or the Services shall be submitted to the competent courts of Sofia, Republic of Bulgaria.
Nothing in this Section limits any rights that consumers may have under mandatory consumer protection legislation.
XIII. Changes to these Terms
365 Company may update, modify, amend, or replace these Terms from time to time.
The most current version of the Terms shall be published on the Platform and shall indicate the effective date of the latest revision.
Where required by applicable law or where changes materially affect User rights or obligations, 365 Company may provide notice through email, the Platform, or other reasonable means.
Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
If the User does not agree with any modification, the User must discontinue use of the Platform.

XV. Final provisions
- If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
- Failure by 365 Company to enforce any provision of these Terms shall not constitute a waiver of any right or provision.
- These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between the User and 365 Company regarding the use of the Platform and supersede any prior agreements, communications, representations, or understandings relating to the same subject matter.
- The headings used in these Terms are for convenience only and shall not affect the interpretation of any provision.
- The User may not assign, transfer, or delegate any rights or obligations under these Terms without the prior written consent of 365 Company.
- 365 Company may assign or transfer its rights and obligations under these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.
- These Terms are effective as of the date indicated at the beginning of this document and remain in force until terminated in accordance with their provisions.
