These Terms of Use ("Terms") govern the relationship between Guidy AI EOOD ("Guidy", "we", "us", or "our") and any individual or entity ("User", "you", or "your") accessing or using Guidy, including the website located at www.guidy.ai, the Guidy desktop application, the Guidy browser extension, and any related products, services, software, content, features, and functionality (collectively, the "Platform").

Guidy is available through a Free Plan and a paid Unlimited Plan. The Unlimited Plan is offered as a recurring monthly subscription that automatically renews until cancelled in accordance with these Terms.

By creating an Account, accessing or using the Platform, subscribing to the Unlimited Plan, or otherwise using Guidy, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you must not access or use the Platform.

I. Information about Guidy

II. Definitions

For the purposes of these Terms:

Account means a registered User profile allowing access to the Platform.

Credits means usage units used to measure access to and consumption of certain Guidy features and Services. The number of Credits available to a User, the frequency at which Credits are renewed or replenished, and the manner in which Credits are consumed may depend on the applicable plan.

Free Plan means the version of Guidy made available without charge and including a limited allocation of Credits that is renewed periodically in accordance with the conditions displayed on the Platform.

Unlimited Plan means the paid subscription plan offered by Guidy that provides access to additional features, functionality, usage allowances, and/or Services as described on the Platform. The Unlimited Plan automatically renews for successive Billing Periods until cancelled in accordance with these Terms.

Legacy Lifetime Plan means a previously offered paid plan purchased on a one-time basis that provides the User with lifetime access to the features, functionality, Credits, usage allowances, and/or other benefits included in or applicable to the User's original purchase. Legacy Lifetime Plans are no longer available for new purchases and do not constitute recurring Subscriptions.

Subscription means the recurring paid arrangement through which a User obtains access to the Unlimited Plan for successive Billing Periods until cancelled or otherwise terminated in accordance with these Terms.

Billing Period means the recurring period for which a Subscription fee is charged. Unless otherwise stated at the time of purchase, the Billing Period for the Unlimited Plan is one (1) month.

AI Guidance means any recommendation, instruction, explanation, visual indication, highlighted element, workflow assistance, or other output generated through artificial intelligence systems used by Guidy.

Screenshot Data means screenshots, screen captures, user interface information, images, accessibility metadata, and related information temporarily processed by Guidy to provide its functionality.

Services means all products, features, functionality, software, content, AI-powered guidance, support services, and related services provided through Guidy.

Platform means the Guidy website, desktop application, browser extension, software, and all associated Services.

III. Account registration

To access certain features of the Platform, Users must create an Account.

During registration, Users may be required to provide accurate and complete information, including name, email address, password, and any additional information reasonably requested by Guidy.

Registration may also be completed using supported third-party authentication providers, including Google, Microsoft, LinkedIn, Apple, or other providers made available by the Platform.

To complete registration, Users must accept these Terms of Use and the Privacy Policy.

Guidy may require verification of the User's email address before activating an Account. Verification may be completed through a confirmation email, verification code, or other method determined by Guidy.

The User is responsible for maintaining the confidentiality of Account credentials and for all activities performed through the Account.

Users must immediately notify Guidy if they suspect unauthorized access to their Account.

Users must provide accurate, complete, and current information and keep such information updated.

Users must be at least eighteen (18) years of age or the age of legal majority in their jurisdiction. Individuals who do not meet this requirement may not create an Account or use the Services.

Guidy reserves the right to suspend, restrict, or terminate any Account where it reasonably believes that:

• inaccurate information has been provided;
• these Terms have been violated;
• fraudulent, abusive, or unlawful activity has occurred; or
• continued access creates security, legal, operational, or reputational risks.

IV. Plans, credits, and credit packs

1. Guidy Plans

Guidy is offered through a Free Plan and a paid Unlimited Plan.

The features, functionality, usage allowances, limitations, and pricing applicable to each plan are displayed on the Platform. Guidy may introduce, modify, or discontinue plans in accordance with these Terms and applicable law.

2. Free Plan

The Free Plan allows Users to access certain features and Services without charge.

The Free Plan currently includes 250 Credits per day. The daily Credit allowance is renewed each day and does not accumulate or carry over from one day to another.

Credits provided as part of the Free Plan are promotional or complimentary usage allowances and have no monetary value.

Guidy may change the number of Credits, features, functionality, or other usage allowances included in the Free Plan from time to time. Any current Free Plan allowances will be displayed on the Platform.

3. Unlimited Plan

The Unlimited Plan is a paid subscription that provides Users with access to additional usage, features, functionality, and/or Services as described on the Platform.

The Unlimited Plan currently provides unlimited usage without a daily Credit allowance, subject to these Terms, technical limitations, and the Acceptable Use provisions of the Platform.

The features and usage allowances included in the Unlimited Plan may evolve over time. Guidy may introduce reasonable usage allowances or other limitations in the future, including a defined Credit allowance, provided that any material changes affecting an existing paid Subscription are communicated to the User in advance and applied in accordance with applicable law.

The applicable price and current benefits of the Unlimited Plan will be displayed to the User before subscribing.

4. Subscription Term and Renewal

Access to the Unlimited Plan is provided on a recurring subscription basis.

Unless otherwise stated at the time of purchase, the Unlimited Plan has a monthly Billing Period and automatically renews for successive monthly Billing Periods until cancelled by the User or otherwise terminated in accordance with these Terms.

Subscription billing, payment, cancellation, refunds, and price changes are governed by Section V of these Terms.

5. Credits

Credits are usage units used within Guidy.

Certain features and Services may consume Credits when used, including AI-powered guidance, screen analysis, interface recognition, task assistance, workflow support, and other functionality determined by Guidy.

The number of Credits consumed may vary depending on the nature, complexity, duration, processing requirements, or other technical characteristics of the requested Service.

Guidy may determine and modify Credit consumption rates from time to time. Current Credit allowances and applicable usage conditions will be made available through the Platform.

6. Free Plan Credit Renewal

Credits included with the Free Plan are renewed daily.

Unused daily Free Plan Credits do not accumulate, roll over, or increase the Credit allowance available on subsequent days.

The timing of daily Credit renewal may be determined by Guidy based on the User's Account, system time, or another reasonable renewal mechanism implemented through the Platform.

7. Legacy Lifetime Plans

Guidy previously offered Legacy Lifetime Plans on a one-time payment basis. These plans are no longer available for new purchases.

Users who validly purchased a Legacy Lifetime Plan before its discontinuation will retain their Legacy Lifetime Plan and will not be automatically transferred to the Free Plan or converted into an Unlimited Plan Subscription.

A Legacy Lifetime Plan remains a non-recurring plan and does not require the User to pay a recurring Subscription fee in order to retain the rights and benefits included in the User's original purchase.

The features, functionality, Credits, usage allowances, and other benefits associated with a Legacy Lifetime Plan will continue to be governed by the terms and conditions applicable to the User's original purchase and any mandatory rights available under applicable law.

Credits validly associated with a Legacy Lifetime Plan will remain subject to the conditions applicable to those Credits under the User's original purchase.

A Legacy Lifetime Plan does not automatically include features, functionality, Services, or usage allowances introduced specifically as part of the Unlimited Plan after the User's original Lifetime purchase, unless Guidy expressly makes such benefits available to Legacy Lifetime Plan Users or the terms applicable to the original purchase provide otherwise.

Users with a Legacy Lifetime Plan may separately choose to subscribe to the Unlimited Plan where available. Purchasing or cancelling an Unlimited Plan Subscription does not, by itself, terminate or replace the User's valid Legacy Lifetime Plan.

8. Credit Balance and Restrictions

Users may review their available Credit balance through their Account or other interfaces provided by the Platform.

Credits have no monetary value, are not legal tender, and do not constitute currency, electronic money, stored value, or any other financial instrument.

Credits may only be used within Guidy and may not be sold, transferred, assigned, exchanged, or redeemed for cash, except where required by applicable law.

9. Unlimited Usage and Acceptable Use

"Unlimited" refers to the usage allowance provided under the Unlimited Plan as described on the Platform and does not permit abusive, fraudulent, automated, commercial resale, or other prohibited use of the Services.

Guidy may apply reasonable technical, security, or usage controls where necessary to protect the Platform, maintain service availability, prevent fraud or abuse, or enforce these Terms.

Any such controls will be applied consistently with the nature of the Unlimited Plan and applicable law.

10. Changes to Plans and Usage Allowances

Guidy may modify, improve, discontinue, replace, or introduce plans, features, Credit allocations, Credit consumption rates, and other usage allowances from time to time, subject to these Terms and applicable law.

Changes to the Free Plan may apply prospectively once communicated or displayed on the Platform.

Where a change materially affects the price, usage allowance, or other material conditions of an existing Unlimited Subscription, Guidy will provide appropriate advance notice where required and will apply the change in accordance with applicable law.

Changes to the Free Plan or Unlimited Plan do not automatically modify, replace, or terminate a User's valid Legacy Lifetime Plan. Rights and benefits associated with a Legacy Lifetime Plan remain subject to the terms and conditions applicable to the User's original purchase and applicable law.

11. No Ownership Rights

Access to a Free Plan, Unlimited Plan, or Legacy Lifetime Plan grants the User a limited right to access and use the Services in accordance with these Terms and, where applicable, the terms governing the User's original purchase.

Credits, Subscription payments, and previous Lifetime Plan payments do not grant the User any ownership interest in Guidy, the Platform, the Services, or any underlying software, technology, intellectual property, or systems.

V. Purchases, payments, and refunds

1. Unlimited Plan Subscription

Users may subscribe to the Unlimited Plan through the Platform.

The applicable Subscription price, Billing Period, features, usage allowances, and other material conditions will be displayed to the User before the Subscription is confirmed.

By subscribing to the Unlimited Plan, the User agrees to pay the applicable recurring Subscription fee and authorizes the recurring charges described in this Section.

2. Merchant of Record and Payment Processing

Purchases of the Unlimited Plan are processed through Paddle, which acts as the Merchant of Record for the transaction.

As Merchant of Record, Paddle may be responsible for processing and collecting payments, calculating and collecting applicable taxes, issuing receipts or invoices, processing approved refunds, and performing other transaction-related functions.

Users may be required to provide billing and payment information directly to Paddle and agree to comply with the applicable Paddle terms presented in connection with the transaction.

Guidy does not store complete payment card information submitted directly to Paddle.

3. Subscription Price

The price of the Unlimited Plan will be displayed on the Platform and at checkout before the User completes the purchase.

Prices may be displayed in different currencies and may include or be subject to VAT, sales tax, or other applicable taxes depending on the User's location and the manner in which the price is presented at checkout.

The amount displayed and confirmed at checkout will govern the applicable Subscription charge.

4. Automatic Renewal

The Unlimited Plan is a recurring Subscription.

Unless cancelled, the Subscription will automatically renew at the end of each Billing Period, and the applicable Subscription fee will be charged through the payment method associated with the Subscription.

Unless otherwise stated at the time of purchase, the Unlimited Plan renews monthly.

By purchasing a Subscription, the User authorizes Paddle to charge the applicable Subscription fee for each renewal until the Subscription is cancelled or otherwise terminated.

5. Billing Period

The first Billing Period begins when the initial Subscription payment is successfully completed and the Unlimited Plan is activated.

Each subsequent Billing Period begins upon successful renewal of the Subscription.

The applicable renewal date may be displayed through the User's Account, checkout provider, or other subscription-management interface made available to the User.

6. Failed or Declined Payments

If a Subscription payment cannot be successfully processed, Guidy and/or Paddle may attempt to process the payment again in accordance with applicable payment procedures.

Access to the Unlimited Plan may be suspended, restricted, or reverted to the Free Plan if payment remains unsuccessful.

The User remains responsible for maintaining valid and accurate billing and payment information.

7. Cancellation

Users may cancel their Unlimited Plan Subscription at any time through the Account settings or other cancellation method made available by Guidy or Paddle.

Cancellation prevents the Subscription from renewing for the next Billing Period. Unless otherwise stated, the User will continue to have access to the Unlimited Plan until the end of the current paid Billing Period.

No prorated refund will be provided for the unused portion of a Billing Period, except where required by applicable law or where the User qualifies for a refund under these Terms.

After the Unlimited Plan Subscription ends, the User's Account will automatically revert to the Free Plan, unless the User has a valid Legacy Lifetime Plan, in which case the Account will revert to the Legacy Lifetime Plan.

Cancellation of an Unlimited Plan Subscription does not, by itself, terminate, replace, or otherwise affect a valid Legacy Lifetime Plan.

8. Refund Policy

Guidy offers a voluntary fourteen (14) day money-back guarantee for Unlimited Plan Subscription charges, subject to the conditions below.

The guarantee applies to both the initial Subscription payment and subsequent renewal payments.

A User is eligible for a refund under this voluntary guarantee if:

• the refund request is submitted within fourteen (14) calendar days of the applicable Subscription charge;
• the User's usage of the Services during the Billing Period associated with that charge does not exceed the equivalent of 250 Credits, as measured by Guidy's internal usage measurement system; and
• the User has not engaged in fraud, abuse of the refund policy, chargeback abuse, or other material violations of these Terms.

For purposes of determining refund eligibility, Guidy may measure usage under the Unlimited Plan using the same or equivalent internal Credit-based measurement applied to usage of the Services, even where a Credit balance is not displayed or deducted from the User's Unlimited Plan.

Where the above conditions are satisfied, Guidy will provide a refund of the applicable Subscription charge, subject to any payment-processing requirements of Paddle.

9. Effect of a Refund

If an Unlimited Plan Subscription charge is refunded, Guidy may terminate the User's access to the Unlimited Plan when the refund is processed.

Following termination of the Unlimited Plan, the User's Account will revert to the Free Plan, unless the User has a valid Legacy Lifetime Plan, in which case the Account will revert to the Legacy Lifetime Plan.

A refund of an Unlimited Plan Subscription charge does not, by itself, cancel, remove, or reduce the rights or benefits associated with a valid Legacy Lifetime Plan.

Any Credits, features, functionality, or other benefits available after such reversion will be governed by the conditions applicable to the User's Free Plan or Legacy Lifetime Plan, as applicable.

10. Refund Requests and Review

Refund requests must be submitted using the contact or refund-request method made available by Guidy or Paddle.

Guidy and/or Paddle may review relevant Account and usage information to determine whether a request satisfies the conditions of the voluntary money-back guarantee.

Guidy may deny a voluntary refund request where there is reasonable evidence of fraud, abuse of the refund policy, repeated or excessive refund requests, attempts to obtain paid Services without payment, manipulation of usage measurements, or material violations of these Terms.

Nothing in this provision permits Guidy to refuse a refund or other remedy that the User is entitled to receive under applicable law.

11. Refund Processing

Approved refunds will normally be returned through the original payment method and may be processed by Paddle in its capacity as Merchant of Record.

The time required for a refund to appear may depend on Paddle, the User's payment method, financial institution, and other payment-processing factors.

Where a Subscription payment is refunded, any future recurring billing will continue unless the Subscription is also cancelled, except where the refund process itself results in cancellation of the Subscription.

Users who do not wish their Subscription to renew should therefore ensure that the Subscription is cancelled.

12. Price Changes

Guidy may change the price of the Unlimited Plan from time to time.

Any new price may apply immediately to new Subscriptions.

Where a price change affects an existing Subscription, Guidy will provide advance notice where required by applicable law. The new price will apply prospectively to a subsequent Billing Period and will not retroactively change charges for a Billing Period that has already been paid.

Where required by applicable law, Users will have the opportunity to cancel their Subscription before the new price becomes effective.

13. Promotional Offers and Discounts

Guidy may offer promotional pricing, discounts, referral programs, promotional codes, introductory offers, or other incentives.

Promotional offers may be subject to additional eligibility requirements, durations, renewal prices, or other conditions disclosed when the offer is made.

Unless expressly stated otherwise, promotional offers may not be combined.

Where a promotional Subscription automatically renews at a different price following the promotional period, the applicable renewal conditions and price will be disclosed to the User in connection with the offer.

14. Taxes

Applicable VAT, sales tax, or other transaction taxes may be calculated and collected by Paddle in its capacity as Merchant of Record.

The final amount payable, including applicable taxes where required, will be displayed at checkout before the User confirms the transaction.

Users are responsible for providing accurate billing information where required for tax, invoicing, or regulatory purposes.

15. Statutory Consumer Rights

Nothing in these Terms limits or excludes any mandatory rights or remedies available to consumers under applicable law.

The voluntary fourteen (14) day money-back guarantee described above is an additional commercial policy offered by Guidy and is separate from any statutory rights of withdrawal, cancellation, refund, conformity, or other remedies that may apply to a User.

Where applicable law provides a User with rights that are more favorable than the voluntary refund conditions in these Terms, the applicable statutory rights will prevail.

Where required by applicable law, Guidy and/or Paddle may request the User's express consent or request for the immediate provision of digital services during an applicable statutory withdrawal period and provide any legally required information concerning the consequences of beginning performance.

16. Fraudulent or Unauthorized Transactions

Guidy may investigate, suspend, restrict, or cancel a Subscription where it reasonably suspects fraud, unauthorized payment activity, abuse, manipulation, or other unlawful activity.

Where appropriate, access to the Unlimited Plan or the Account may be temporarily restricted while the matter is investigated.

Nothing in this provision limits any mandatory rights available to the User under applicable law.

17. Chargebacks and Payment Disputes

Users are encouraged to contact Guidy or Paddle regarding billing issues so that the matter can be investigated and resolved.

If a User initiates a chargeback, payment dispute, or payment reversal, Guidy may suspend the Unlimited Plan associated with the disputed payment while the dispute is being resolved where reasonably necessary to prevent fraud or misuse.

Nothing in this provision restricts the User's lawful right to dispute an unauthorized or incorrect charge or exercise rights available under applicable consumer or payment-services law.

18. Invoices and Receipts

Receipts, invoices, and other transaction documents may be issued electronically by Paddle in its capacity as Merchant of Record.

Users must provide accurate and complete billing information where such information is required for invoicing, tax, or compliance purposes.

Transaction documents may be delivered by email, through Paddle, through the Platform, or by other electronic means.

VI. AI guidance and user responsibility

1. Nature of the Services

Guidy provides AI-powered guidance, recommendations, instructions, visual highlights, workflow assistance, and other informational outputs designed to help Users navigate software applications and complete tasks.

The Services are intended solely as an assistance tool and should not be considered professional, legal, financial, accounting, tax, medical, technical, cybersecurity, or other specialized advice.

2. AI-Generated Content

The User acknowledges and agrees that AI Guidance is generated through automated systems and may be incomplete, inaccurate, misleading, outdated, inappropriate, or unavailable.

Guidy does not guarantee the accuracy, completeness, reliability, suitability, legality, safety, or effectiveness of any AI Guidance provided through the Platform.

3. User Responsibility

The User remains solely responsible for:

• Reviewing and evaluating all AI Guidance before acting upon it;
• Verifying the accuracy and suitability of any recommendation or instruction;
• Any actions performed within third-party software applications;
• Any decisions made based on information provided through the Platform;
• Maintaining backups of important files, documents, configurations, and data.

The User acknowledges that all actions taken in response to AI Guidance are performed at the User’s own risk.

4. No Automated Decision-Making

Guidy is designed to provide guidance and assistance. Unless expressly stated otherwise, Guidy does not make decisions on behalf of the User and does not replace the User's judgment, expertise, or responsibility.

The User retains full control over whether to follow any recommendation or instruction provided by the Platform.

5. Third-Party Software

Guidy may provide guidance relating to third-party software, websites, platforms, operating systems, and services.

Guidy is not affiliated with, endorsed by, sponsored by, or officially associated with any third-party software provider unless expressly stated otherwise.

The appearance, functionality, availability, and behavior of third-party software may change at any time and may affect the accuracy or effectiveness of the Services.

Guidy does not guarantee compatibility with any particular software application, operating system, website, service, or software version.

6. No Warranty of Results

Guidy does not guarantee that:

• A task will be completed successfully;
• A particular outcome will be achieved;
• A highlighted interface element is always the correct element;
• AI Guidance will always be available;
• AI Guidance will always be current, accurate, or suitable for the User’s situation.

The User understands that software environments, user interfaces, workflows, permissions, settings, and system configurations vary and may affect the effectiveness of the Services.

7. Data Loss and Business Interruption

Guidy shall not be liable for any loss of data, corruption of files, interruption of business activities, loss of productivity, missed opportunities, lost profits, or other damages arising from the use of or reliance upon the Services.

Users are strongly encouraged to maintain appropriate backups and follow their own internal review and approval procedures before making significant changes within third-party software systems.

8. Availability of AI Services

Certain features of Guidy rely on third-party artificial intelligence providers and external technology services.

Guidy does not guarantee uninterrupted availability of such services and shall not be liable for delays, interruptions, degraded performance, or unavailability caused by third-party providers, network failures, technical issues, maintenance, or circumstances beyond its reasonable control.

9. Continuous Improvement

The User acknowledges that Guidy is an evolving software product.

Guidy may modify, improve, update, replace, suspend, or discontinue features, functionality, AI models, workflows, interfaces, and methods of operation at any time in order to improve the Platform, maintain security, comply with legal obligations, or enhance the user experience.

VII. Screen processing, privacy, and third-party AI providers

1. Screen Processing

The User acknowledges that the core functionality of Guidy requires the analysis of information displayed on the User's screen.

In order to provide AI Guidance and other Services, Guidy may capture, temporarily process and analyze screenshots, screen content, user interface elements, accessibility metadata, application information, and other information necessary to understand the User's current software environment and requested task.

Relevant information may be transmitted to third-party AI providers where necessary to generate AI Guidance and provide the Services requested by the User.

Screen processing is performed for the purpose of providing, operating, securing, and supporting the Services in accordance with these Terms and the Privacy Policy.

2. Sensitive Information and Privacy Protection

Information visible on a User's screen may contain personal, confidential, proprietary, financial, medical, legal, authentication-related, or other sensitive information.

Guidy uses privacy-protection technology designed to automatically detect and mask certain categories of sensitive information before relevant screen content is transmitted to third-party AI providers for AI processing.

These protections are designed to reduce the exposure of sensitive information. However, automated detection and masking technologies cannot guarantee that all sensitive information will be identified or masked in every circumstance.

Users should therefore exercise reasonable care when using the Services and should avoid intentionally displaying highly sensitive information that is not necessary for the task being performed.

3. Third-Party AI Providers

Certain Services rely on artificial intelligence technologies provided by third-party service providers.

In order to generate AI Guidance, Guidy may transmit relevant task information, screen content, prompts, metadata, and related information to such providers for processing.

Where applicable, Guidy's privacy-protection mechanisms are designed to detect and mask certain sensitive information in relevant screen content before such content is transmitted to third-party AI providers.

The User acknowledges that such third-party processing is necessary for the operation of certain AI-powered features of the Platform.

4. Changes to AI Providers

Guidy may add, remove, replace, or modify third-party AI providers from time to time.

Where required by applicable law, Users will be notified of material changes affecting the processing of personal information.

5. Privacy Policy

The collection, use, processing, storage, retention, disclosure, and protection of personal information are governed by the Guidy Privacy Policy, which forms an integral part of these Terms.

By using the Platform, the User acknowledges that they have read and understood the Privacy Policy.

6. Third-Party Services

Certain features of the Platform may depend on third-party AI providers, software vendors, operating systems, websites, platforms, or other third-party services.

Guidy does not control the availability, functionality, security practices, privacy practices, or performance of independent third-party services, except to the extent that Guidy is responsible for its own selection, configuration, or use of such providers under applicable law.

The use of third-party services may also be subject to terms, conditions, or privacy policies established by the respective providers.

7. Technical and Usage Data

Guidy may collect technical and operational information necessary to operate, maintain, secure, improve, and support the Platform, including:

• device and operating system information;
• application and browser extension version information;
• diagnostic and error logs;
• usage statistics and task categories;
• Plan, Credit, and usage information, including usage measurements used to administer applicable allowances and determine refund eligibility;
• performance metrics; and
• security and fraud-prevention information.

Such information may be used for product operation and improvement, troubleshooting, analytics, usage administration, security, fraud prevention, compliance, and customer support purposes.

8. Security Measures

Guidy implements reasonable administrative, technical, and organizational measures designed to protect information processed through the Platform.

However, no method of electronic transmission, storage, or processing can be guaranteed to be completely secure. Accordingly, Guidy cannot guarantee absolute security.

9. Compliance with Laws and Legal Requests

Guidy may disclose information where required by applicable law, court order, governmental authority, legal process, or regulatory obligation, or where reasonably necessary to protect the rights, safety, security, or property of Guidy, its Users, or third parties, subject to applicable law.

VIII. Acceptable use and prohibited activities

1. Permitted Use

Subject to these Terms, Guidy grants the User a limited, non-exclusive, non-transferable, revocable right to access and use Guidy solely for its intended purpose and in accordance with applicable laws and regulations.

The User may use the Platform only for lawful purposes and in a manner consistent with these Terms.

2. Prohibited Activities

The User shall not, directly or indirectly:

• Violate any applicable law, regulation, court order, or governmental requirement;
• Use the Platform for any unlawful, fraudulent, deceptive, harmful, abusive, or malicious purpose;
• Interfere with, disrupt, damage, or compromise the Platform, its infrastructure, security mechanisms, or related systems;
• Attempt to gain unauthorized access to any account, system, network, data, or Service;
• Circumvent, disable, defeat, or otherwise interfere with security features, access controls, usage limitations, or Credit consumption mechanisms;
• Use automated scripts, bots, crawlers, scraping tools, or similar technologies to access or interact with the Platform in an unauthorized manner;
• Introduce viruses, malware, ransomware, spyware, malicious code, or other harmful software into the Platform;
• Use the Platform to transmit, process, store, or distribute unlawful, defamatory, infringing, hateful, discriminatory, obscene, or otherwise objectionable content;
• Use the Platform in a manner that could damage, disable, overburden, or impair the operation of the Services;
• Misrepresent identity, affiliation, authorization, or relationship with any person or entity;
• Attempt to manipulate, exploit, abuse, or artificially increase the availability of Credits, promotional offers, free usage allowances, referral programs, or other Platform benefits.

3. Account Sharing

User Accounts are intended for individual use unless expressly authorized by Guidy.

The User shall not share Account credentials with third parties or permit unauthorized persons to access or use the Platform through the User’s Account.

The User remains fully responsible for all activities performed through the Account.

4. Reverse Engineering and Unauthorized Access

Except where expressly permitted by applicable law, the User shall not:

• Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, algorithms, models, architecture, or underlying technology of the Platform;
• Attempt to discover, extract, replicate, copy, or recreate prompts, workflows, datasets, system instructions, or proprietary processes used by Guidy;
• Access or use the Platform for the purpose of developing, training, improving, or benchmarking competing products or services;
• Probe, scan, test, or assess the vulnerability of the Platform without the prior written consent of Guidy.

5. Abuse of Credits and Promotional Programs

The User shall not engage in activities intended to obtain unauthorized access to Credits, free usage allowances, discounts, promotional benefits, referral rewards, or other commercial advantages.

Guidy reserves the right to revoke Credits, suspend Accounts, cancel purchases, or terminate access where abuse, fraud, manipulation, or misuse is suspected.

6. Third-Party Rights

The User shall not use the Platform in any manner that infringes, misappropriates, violates, or otherwise interferes with the intellectual property rights, privacy rights, contractual rights, or other legal rights of any third party.

7. Monitoring and Enforcement

Guidy reserves the right, but not the obligation, to investigate potential violations of these Terms.

Where Guidy reasonably believes that a violation has occurred, it may take any action it deems appropriate, including:

• Issuing warnings;
• Suspending or restricting access to the Platform;
• Removing content or data;
• Revoking Credits or promotional benefits;
• Terminating Accounts;
• Refusing future purchases;
• Reporting activities to law enforcement authorities or regulatory bodies where appropriate.

8. Consequences of Violations

Any violation of this Section may result in immediate suspension or termination of access to the Platform without notice and without refund, to the extent permitted by applicable law.

Guidy reserves all rights and remedies available under applicable law in connection with violations of these Terms.

IX. Intellectual property rights

1. Ownership of the Platform

The Platform, including Guidy, its software, source code, object code, algorithms, artificial intelligence systems, models, user interfaces, workflows, designs, graphics, text, images, audio, video, databases, documentation, trademarks, logos, trade names, branding elements, and all related content and technology, are owned by or licensed to Guidy and are protected by applicable intellectual property, copyright, trademark, trade secret, and other laws.

Except as expressly provided in these Terms, no rights, title, or interest in or to the Platform are transferred to the User.

2. Limited License

Subject to compliance with these Terms, Guidy grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for the User’s internal personal or business purposes and only in accordance with these Terms.

This license does not grant the User any ownership rights in the Platform or any part thereof.

3. Restrictions

The User shall not, except as expressly permitted by applicable law or with the prior written consent of Guidy:

• copy, reproduce, distribute, publish, display, transmit, sell, lease, sublicense, or otherwise exploit any part of the Platform;
• modify, adapt, translate, create derivative works from, or otherwise alter the Platform;
• remove, obscure, or alter copyright notices, trademarks, proprietary notices, or other legal notices;
• use any part of the Platform for the development, training, improvement, or operation of competing products or services; or
• use the Platform in a manner that infringes the intellectual property rights of Guidy or any third party.

4. Trademarks

“Guidy”, and all related names, logos, product names, service names, slogans, trade dress, and branding elements are trademarks or proprietary marks of Guidy or its licensors.

Nothing contained in these Terms grants the User any right to use any trademark, logo, or branding element without the prior written consent of Guidy.

5. Feedback

If the User provides suggestions, ideas, recommendations, comments, bug reports, feature requests, feedback, or other information relating to the Platform (“Feedback”), the User grants Guidy a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, modify, distribute, commercialize, and otherwise exploit such Feedback for any purpose without compensation or attribution to the User.

Guidy is under no obligation to implement or respond to any Feedback.

6. User Content

To the extent the User submits or makes available content, prompts, requests, instructions, communications, screen content, or other materials through the Platform (“User Content”), the User retains any intellectual property rights they may have in such User Content.

The User grants Guidy a limited, non-exclusive, worldwide, royalty-free license to temporarily process, analyze, reproduce, and transmit User Content solely to the extent necessary to provide, operate, secure, troubleshoot, and support the Services, comply with applicable legal obligations, and perform the processing described in these Terms and the Privacy Policy.

This license does not grant Guidy the right to use User Content for purposes unrelated to providing and operating the Services.

Where User Content, including screen content, prompts, or AI interactions, is processed temporarily to provide AI Guidance, such processing does not by itself imply that the User Content is persistently stored by Guidy. Any storage or retention of personal information will be governed by the Privacy Policy.

Where relevant User Content is transmitted to third-party AI providers in order to provide AI-powered functionality, such transmission and processing will be subject to Section VII and the Privacy Policy.

The User represents that they have the rights, permissions, or other lawful basis reasonably necessary to submit or make available User Content through the Platform.

7. Reservation of Rights

All rights not expressly granted to the User under these Terms are reserved by Guidy and its licensors.

No implied licenses shall be created by these Terms or by the User’s access to or use of the Platform.

8. Reporting Intellectual Property Violations

If any person believes that content, materials, or functionality available through the Platform infringes their intellectual property rights, they may contact Guidy at support@guidy.ai and provide sufficient information to identify the allegedly infringing material and the rights claimed to have been infringed.

Guidy may investigate such notices and take appropriate action where required by applicable law.

X. Disclaimers and limitation of liability

1. Services Provided “As Is”

To the fullest extent permitted by applicable law, the Platform and the Services are provided on an “as is” and “as available” basis.

Guidy does not guarantee that the Platform or Services will always be available, uninterrupted, error-free, secure, or suitable for every User's particular requirements.

Nothing in this Section excludes or limits any warranty, guarantee, right, or remedy that cannot lawfully be excluded or limited.

2. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Guidy disclaims warranties, representations, guarantees, or conditions, whether express, implied, or statutory, concerning the Platform or Services, including warranties relating to merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, compatibility, and performance.

Guidy does not guarantee that all defects or errors will be corrected or that the Platform will remain compatible with every device, operating system, application, website, or third-party service.

This provision does not affect any mandatory rights concerning conformity, quality, functionality, or remedies available to consumers under applicable law.

3. AI Guidance Disclaimer

The User acknowledges that Guidy uses artificial intelligence and automated technologies to generate guidance, recommendations, instructions, explanations, visual indications, and other outputs.

AI Guidance may occasionally be inaccurate, incomplete, misleading, outdated, inappropriate, or unavailable.

Guidy does not guarantee that AI Guidance will produce a particular result or that every recommendation, instruction, interface identification, or suggested action will be correct or appropriate for the User's particular circumstances.

Users should exercise reasonable judgment and verify AI Guidance where appropriate before relying on it, particularly where an action could have significant financial, legal, professional, security, privacy, or other consequences.

Guidy does not provide professional legal, medical, financial, tax, or other regulated professional advice unless expressly stated otherwise.

4. Third-Party Software and Services

Guidy may interact with or provide AI Guidance relating to third-party software applications, websites, operating systems, platforms, and other services.

Guidy does not control such third-party products and does not guarantee:

• continued compatibility with third-party software or services;
• continued availability of particular third-party functionality;
• accurate recognition of every user interface or interface element;
• successful completion of every task within third-party software; or
• consistency of third-party interfaces, features, workflows, or functionality.

Changes made by third-party providers may affect the availability, operation, effectiveness, or accuracy of Guidy's Services.

5. User Responsibility

The User is responsible for exercising reasonable judgment when acting on AI Guidance and, where appropriate:

• reviewing instructions or recommendations before acting on them;
• verifying information where accuracy is important;
• reviewing actions before confirming material changes within third-party software;
• maintaining appropriate backups of important information; and
• taking reasonable measures to protect their Accounts, systems, and data.

Guidy is not responsible for losses resulting solely from a User's failure to exercise reasonable care or from actions taken contrary to clear warnings or instructions provided through the Platform.

Nothing in this provision transfers to the User responsibility that Guidy is required to bear under applicable law.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Guidy and its directors, officers, employees, contractors, affiliates, and licensors shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to the use of, inability to use, or reliance upon the Platform or Services.

To the fullest extent permitted by applicable law, Guidy shall also not be liable for loss of profits, revenue, business opportunities, goodwill, anticipated savings, or business interruption where such losses are indirect or consequential.

Guidy shall not be liable for loss or corruption of data to the extent caused by circumstances outside Guidy's reasonable control, third-party software or services, or the User's failure to maintain reasonable backups where appropriate.

The exclusions in this Section apply regardless of the legal theory on which a claim is based, but only to the extent that such exclusions are permitted by applicable law.

7. Maximum Liability

To the fullest extent permitted by applicable law, Guidy's total aggregate liability arising out of or relating to the Platform, the Services, or these Terms shall not exceed the greater of:

• the total amount paid in connection with the User's Guidy Account during the twelve (12) months immediately preceding the event giving rise to the claim; or
• one hundred United States Dollars (USD $100).

This limitation applies to the aggregate of claims arising from the same or related circumstances.

The limitation does not apply to liability that cannot lawfully be excluded or limited, including where applicable liability arising from fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability for which exclusion or limitation is prohibited by applicable law.

8. Third-Party Providers

Guidy relies on certain independent third parties in connection with the operation of the Platform, which may include AI providers, hosting and infrastructure providers, telecommunications providers, internet service providers, software providers, and Paddle in its capacity as Merchant of Record.

Guidy is not responsible for acts, omissions, outages, failures, content, policies, or practices of independent third parties that are outside Guidy's reasonable control.

This provision does not exclude responsibility that Guidy is required to bear under applicable law for its own acts or omissions, including where applicable in connection with its selection, configuration, or use of third-party providers.

9. Force Majeure

Guidy shall not be liable for delays, interruptions, or failures in performance caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, governmental actions, labor disputes, widespread internet or telecommunications outages, power failures, cyberattacks, infrastructure failures, or material failures of third-party services.

This provision applies only to the extent permitted by applicable law and does not affect mandatory consumer rights.

10. Consumer Rights

Nothing in these Terms excludes, restricts, or limits any rights or remedies that cannot be excluded, restricted, or limited under applicable law.

Where the User is a consumer, any exclusion or limitation contained in these Terms shall apply only to the extent permitted by the consumer protection laws applicable to that User.

If applicable law provides the User with mandatory rights or remedies that conflict with a provision of this Section, those mandatory rights or remedies shall prevail.

XI. Suspension, termination, and account closure

1. Cancellation of the Unlimited Plan

Cancellation of an Unlimited Plan Subscription is separate from closure of the User's Account.

A User may cancel their Unlimited Plan at any time in accordance with Section V.

Unless a refund is separately requested and granted, cancellation will normally take effect at the end of the current paid Billing Period. The User may continue using the Unlimited Plan until that time.

When the Unlimited Plan ends, the User's Account will automatically revert to the Free Plan, unless the User has a valid Legacy Lifetime Plan, in which case the Account will revert to the Legacy Lifetime Plan. Cancellation of the Unlimited Plan does not by itself delete or close the User's Account.

Cancellation of an Unlimited Plan Subscription does not by itself terminate, replace, or otherwise affect a valid Legacy Lifetime Plan.

2. Account Closure by the User

The User may stop using the Platform at any time.

The User may request closure of their Account through any Account-management functionality made available on the Platform or by contacting Guidy using the contact details provided in these Terms.

If the User has an active Unlimited Plan Subscription, the User should cancel the Subscription before closing the Account. Where reasonably possible, Guidy may also cancel an active Subscription in connection with an Account-closure request.

Closing an Account does not automatically entitle the User to a refund. Any refund entitlement will be determined in accordance with Section V and applicable law.

Account closure may result in the loss of access to Free Plan Credits, benefits associated with a Legacy Lifetime Plan, Account settings, and other Account-related information. Users should therefore consider any remaining benefits associated with their Account before requesting permanent closure.

3. Suspension or Termination by Guidy

Guidy may suspend, restrict, deactivate, or terminate a User's access to some or all of the Platform where Guidy reasonably determines that:

• the User has materially violated these Terms;
• the User has violated applicable law or regulation;
• fraudulent, deceptive, abusive, or unauthorized activity has occurred;
• the User has attempted to circumvent payment systems, Credit consumption mechanisms, Plan restrictions, security measures, or usage controls;
• the User has abused the Free Plan, Unlimited Plan, Legacy Lifetime Plan, refund policy, promotional benefits, or other Platform functionality;
• the User's actions create material security, legal, technical, or operational risks; or
• Guidy is required to do so by applicable law, court order, governmental authority, or regulatory obligation.

Where reasonably practicable and appropriate, Guidy may provide notice and an opportunity to remedy a violation before permanently terminating an Account.

Guidy may take immediate action without prior notice where reasonably necessary to prevent fraud, abuse, unauthorized access, security threats, material harm to the Platform or other Users, or where required by law.

4. Effect of Suspension or Termination

Depending on the nature of the suspension or termination:

• access to some or all of the Platform may be restricted or cease;
• access to the Unlimited Plan or Legacy Lifetime Plan may be suspended or terminated where permitted under these Terms, the conditions applicable to the relevant plan, and applicable law;
• the Account may revert to the Free Plan or Legacy Lifetime Plan, where appropriate;
• improperly obtained or promotional Credits or benefits may be revoked;
• the Account may be deactivated or closed; and
• Account-related information may be deleted or retained in accordance with the Privacy Policy and applicable legal requirements.

Guidy will not terminate, remove, or reduce a valid Legacy Lifetime Plan merely because an Unlimited Plan Subscription is cancelled or ends.

Where an Account itself is permanently closed or terminated, access to benefits associated with a Legacy Lifetime Plan may cease, subject to the terms and conditions applicable to the original Lifetime purchase and any rights available under applicable law.

Any refund entitlement following suspension or termination will be determined in accordance with Section V and applicable law.

5. Preservation of Rights

Termination or closure of an Account does not affect rights, obligations, liabilities, claims, or remedies that accrued before termination.

Provisions that by their nature are intended to survive termination will continue to apply, including provisions concerning intellectual property, limitations of liability, dispute resolution, applicable law, and other provisions that reasonably require continued effect.

6. Discontinuation of the Platform or Paid Services

Guidy may modify, suspend, or discontinue the Platform or individual Services.

Where Guidy intends to materially discontinue the Unlimited Plan or another paid Service, Guidy will provide reasonable advance notice where practicable and where required by applicable law.

If Guidy permanently discontinues a paid Service before the end of a Billing Period for which a User has already paid, Guidy will provide any refund, credit, continued access, alternative service, or other remedy required by applicable law.

Any discontinuation or material modification affecting a Legacy Lifetime Plan will be handled in accordance with the terms and conditions applicable to the original Lifetime purchase and applicable law.

Discontinuation or material modification of the Platform will not affect mandatory consumer rights.

XII. Governing law and dispute resolution

1. Applicable Law

These Terms, the Platform, and any disputes arising out of or relating to the use of Guidy shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to conflict of law principles.

Where mandatory consumer protection laws of the User’s country of residence provide additional rights that cannot be waived by contract, such rights shall remain unaffected.

2. Good Faith Resolution

The Parties shall make reasonable efforts to resolve any dispute, controversy, or claim arising out of or relating to these Terms through good-faith negotiations before commencing formal legal proceedings.

3. Jurisdiction

To the extent permitted by applicable law, any dispute arising out of or relating to these Terms, the Platform, or the Services shall be submitted to the competent courts of Sofia, Republic of Bulgaria.

Nothing in this Section limits any rights that consumers may have under mandatory consumer protection legislation.

XIII. Changes to these Terms

1. Updates to the Terms

Guidy may update, modify, amend, or replace these Terms from time to time, including to reflect:

• changes to the Platform, Services, Plans, features, or functionality;
• changes to pricing, billing, Credits, or usage arrangements;
• changes to applicable laws, regulations, or legal requirements;
• changes to third-party services or technologies used by Guidy;
• security, fraud-prevention, technical, or operational requirements; or
• other reasonable business needs.

The most current version of these Terms will be made available on the Platform and will indicate the effective date of the latest revision.

2. Notice of Material Changes

Where a change materially affects the User's rights or obligations, Guidy will provide reasonable advance notice where required by applicable law.

Notice may be provided by email, through the Platform, within the Guidy application or browser extension, or by another reasonable means.

Minor, technical, administrative, or non-material changes may take effect upon publication of the updated Terms unless applicable law requires otherwise.

3. Changes Affecting the Unlimited Plan

Where a change materially affects an existing Unlimited Plan Subscription, including a material change to its price, billing arrangements, or usage allowance, Guidy will provide appropriate advance notice before the change applies to the User, where required by applicable law.

Unless otherwise required by applicable law, such changes will apply prospectively and will not retroactively alter a Billing Period that has already been paid for.

Where applicable law gives the User a right to reject, cancel, or terminate the Subscription as a result of a material change, Guidy will respect that right.

4. Changes to Usage Allowances

Guidy may modify the features, functionality, usage allowances, Credit structure, or other conditions applicable to the Unlimited Plan from time to time.

Where a change materially affects an existing Unlimited Plan Subscription, Guidy will provide reasonable advance notice where required by applicable law.

Any material change will apply prospectively and in accordance with applicable consumer protection requirements.

Changes to the Unlimited Plan do not, by themselves, modify, replace, terminate, or reduce the rights or benefits associated with a valid Legacy Lifetime Plan.

5. Acceptance of Updated Terms

The User's continued use of the Free Plan after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by applicable law.

For Users with an Unlimited Plan, continued use or renewal after the effective date of updated Terms may constitute acceptance where permitted by applicable law.

For Users with a Legacy Lifetime Plan, changes to these Terms that materially affect rights or benefits acquired under the original Lifetime purchase will apply only to the extent permitted by the terms and conditions applicable to the original purchase and applicable law.

Where applicable law requires the User's express consent to a particular modification, Guidy will obtain such consent before the modification becomes binding on that User.

6. If the User Does Not Agree

If the User does not agree with updated Terms, they may stop using the Platform and may close their Account in accordance with Section XI.

A User with an Unlimited Plan may also cancel their Subscription in accordance with Section V.

Cancellation will prevent future renewal charges but will not, by itself, create a right to a refund for the current Billing Period, except where a refund is available under Section V or applicable law.

7. Mandatory Rights

Nothing in this Section permits Guidy to make a contractual modification that is prohibited by applicable law or to remove, restrict, or waive mandatory consumer rights.

Where applicable law imposes additional requirements regarding notice, consent, termination rights, refunds, or modifications to digital services, those requirements will apply.

Guidy will make reasonable efforts to respond to inquiries within a reasonable period of time.

XV. Final provisions

1. Severability

If any provision of these Terms is found by a competent court or authority to be invalid, illegal, or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary to make it valid and enforceable where possible.

If this is not possible, the affected provision shall be severed, and the remaining provisions of these Terms shall remain in full force and effect.

2. No Waiver

Failure or delay by Guidy in exercising or enforcing any right or provision under these Terms shall not constitute a waiver of that right or provision.

A waiver shall be effective only where expressly made by Guidy and shall apply only to the specific circumstances for which it is given.

3. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly presented and accepted in connection with a particular Service, Plan, promotion, or feature, constitute the agreement between the User and Guidy concerning the use of the Platform and Services.

Refunds, cancellations, Subscriptions, Credits, and related payment matters are governed by these Terms, including Section V, together with any mandatory rights available under applicable law.

These Terms supersede prior agreements, communications, or understandings concerning the same subject matter, except that rights and obligations arising from a valid Legacy Lifetime Plan or other previous purchase remain subject to the terms and conditions applicable to the original purchase to the extent they continue to apply or cannot lawfully be modified.

4. Headings

The headings and titles used in these Terms are provided for convenience and organization only and shall not affect the interpretation of any provision.

5. Assignment by the User

The User may not assign, transfer, or delegate their rights or obligations under these Terms without Guidy's prior written consent, except where such restriction is prohibited by applicable law.

6. Assignment by Guidy

Guidy may assign or transfer its rights and obligations under these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, transfer of business, or similar transaction, subject to applicable law.

Any such assignment or transfer shall not reduce mandatory rights available to consumers under applicable law.

7. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, agency, franchise, or fiduciary relationship between Guidy and the User.

Neither party has authority to bind the other except as expressly provided in these Terms.

8. Effective Date and Duration

These Terms become effective on the date indicated at the beginning of this document and remain in effect until terminated in accordance with their provisions.

Updated versions of these Terms will become effective in accordance with Section XIII.

Any provisions that by their nature are intended to survive termination shall continue to apply following termination or Account closure.

9. Mandatory Rights

Nothing in these Final Provisions excludes, restricts, or waives any right or remedy that cannot lawfully be excluded, restricted, or waived under applicable law.
